These Terms and Conditions (“Terms”) govern your access to, viewing of, and use of hyperspeed.com (the “Site”), which is operated by Hyperspeed Ventures LLC, a Delaware limited liability company (“Hyperspeed”). By accessing, viewing, or using the Site, you agree to these Terms. If you do not agree to these Terms, you are not permitted to continue viewing or using the Site.
1. About Hyperspeed
Hyperspeed makes and manages investments in bold, category-redefining companies and the brave dreams of the passionate entrepreneurs who forge positive new paths into the future. Hyperspeed is a selective venture investor: it backs a small number of private companies as early as it can, often at the seed stage, but also at the Series A stage, between financing rounds, or at any other point it considers the right time to invest. It protects confidential information and honors every agreement it makes with the companies it backs.
Hyperspeed may also, from time to time, invest in public companies, derivatives, and blockchain-based digital assets, including but not limited to smart-contract-governed decentralized or tokenized derivatives such as blockchain-based perpetual futures, so long as those instruments are lawfully available in the United States and can be held in appropriate custody. It may invest in any other physical or digital asset, contract, smart contract, security, derivative, options contract, futures contract, or other liquid or illiquid instrument it chooses, subject to applicable law and the agreements governing each investment. Hyperspeed may or may not disclose any of these investments on the Site. In these Terms, Hyperspeed’s “principals” are its founder and the individuals who manage its investments.
2. Portfolio Listings
2.1 The Portfolio. The Portfolio is primarily, but not exclusively, reserved for companies that Hyperspeed or one of its principals invested in while they were private, many of them at the seed stage, and some at various other times and stages. Every company listed is one in which Hyperspeed or one of its principals has invested, and the Portfolio shows a selection of those investments.
2.2 How investments are made. Hyperspeed and its principals invest in several ways, including through (a) a company’s financing rounds, (b) purchases of shares from company shareholders, (c) funds or special purpose vehicles that hold a company’s securities, and (d) securities received when one company acquires another. A listing therefore does not state or imply the round, date, price, or terms of an investment, or that the investment was made directly with the company.
2.3 Company history. Labels such as “IPO” and “acquired” mark companies that have gone public or been acquired since Hyperspeed or its principals invested. Hyperspeed may still hold its interest in a listed company or may have sold some or all of it, although Hyperspeed is typically a long-term shareholder and often seeks to hold its shares for many years after a company’s initial public offering. Company descriptions are Hyperspeed’s own.
2.4 Independent companies. Each listed company is an independent business. Unless the Site says otherwise, a listing does not mean that the company is affiliated with, sponsors, or endorses Hyperspeed, or that Hyperspeed holds a board seat or a management role in the company. Company names, trademarks, and logos belong to their owners and are used on the Site only to identify the companies in which Hyperspeed or its principals have invested. Images accompanying listings are illustrative, and links to company websites are provided for convenience.
3. No Offer or Advice
Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security, and nothing on the Site is investment, legal, or tax advice. Past results do not guarantee future results. Statements about Hyperspeed’s mission and plans reflect its views when made and are not guarantees.
4. Contacting Hyperspeed and Privacy
Founders and prospective limited partners can reach Hyperspeed through the contact form. Hyperspeed’s fund is currently closed to outside limited partners and other investors. If you are interested in becoming a limited partner, reach out, and Hyperspeed will let you know if an opportunity opens. Hyperspeed reviews many more investment opportunities than it funds, and it may invest in companies that compete with yours. It therefore does not accept information in confidence without a signed confidentiality agreement, and receiving your information creates no obligation on Hyperspeed. Hyperspeed uses what you submit, such as your name, email address, telephone number, and message, to respond to you and to evaluate opportunities. Submissions are delivered through a third-party form service, and Hyperspeed does not sell personal information. The Site and its hosting providers may record standard technical information, such as IP addresses.
5. Use of the Site
Hyperspeed grants you a limited, revocable, non-exclusive, non-transferable license to view the Site for your own informational use. You may not copy, scrape, republish, screenshot, or commercially exploit the Site or its content except as the law permits, use the Site unlawfully, or interfere with its operation. Hyperspeed owns the Site and its content, other than third-party names, marks, and materials, and it is not responsible for third-party websites linked from the Site.
6. Disclaimers, Limitation of Liability, and Indemnity
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. HYPERSPEED DOES NOT WARRANT THAT THE SITE WILL BE AVAILABLE, SECURE, OR ERROR-FREE, OR THAT ITS INFORMATION IS COMPLETE OR CURRENT. TO THE FULLEST EXTENT PERMITTED BY LAW, FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, HYPERSPEED AND ITS MEMBERS, MANAGERS, PRINCIPALS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, AND THEIR TOTAL LIABILITY FOR ALL SUCH CLAIMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
You agree to indemnify Hyperspeed and its members, managers, principals, and agents against any claim, loss, or expense, including reasonable attorneys’ fees, arising out of your misuse of the Site or your violation of these Terms.
7. Governing Law and General Terms
These Terms are governed by Delaware law, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to the Site or these Terms will be resolved exclusively in the state or federal courts located in Delaware, and you consent to their personal jurisdiction. Hyperspeed may revise these Terms by posting a new version on the Site, and your continued use of the Site after a revision means you accept it. If any provision is held unenforceable, the remaining provisions will stay in effect. Hyperspeed’s failure to enforce a provision is not a waiver. These Terms are the entire agreement between you and Hyperspeed regarding the Site, and they do not modify any separate written agreement between Hyperspeed and any person.
